Terms of Service

Introduction
Welcome to Consequential Flowers, encompassing all our products and services including the BloomRadius web-based application. The following Terms of Service are a legal agreement between Consequential Flowers ('we', 'us', or 'our') and you, the user ('you'). By accessing or using any part of the Consequential Flowers platform, which includes the BloomRadius application, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, you must not access or use the services.


Acceptance of Terms
By creating an account and using the platform, you acknowledge that you have reviewed, understand, and agree to these Terms of Service. We provide a link to these Terms, along with our Privacy Policy, during the account creation process for your review. We reserve the right to modify these Terms of Service at any time, so please review them frequently. Changes and clarifications will take effect immediately upon their posting on the website. If we make material changes to these Terms, we will notify you here that it has been updated, so that you are aware of what information we collect, how we use it, and under what circumstances, if any, we use and/or disclose it.


Modification of Terms
To access certain features of the platform, you must register for an account. When you register, you agree to provide accurate and complete information and to update your information to ensure it remains accurate and complete.


Account Registration
As part of our services, users may submit content to the platform, including but not limited to, text, images, videos, and other multimedia files ('User-Generated Content'). By submitting content, you grant Consequential Flowers a non-exclusive, worldwide, royalty-free, perpetual, and irrevocable license to use, reproduce, distribute, modify, adapt, create derivative works from, and publicly display or perform your User-Generated Content across our platforms and through related marketing channels. You retain all your ownership rights to your User-Generated Content. Upon your request, we will provide attribution for your content where practicable.


User-Generated Content
The platform may not be used for any illegal or unauthorized purpose. You agree not to use the service for any act that could be considered a violation of any applicable law or regulation.


Prohibited Activities
All content provided on the platform, except for User-Generated Content, is the exclusive property of Consequential Flowers or used with permission. No content may be copied, distributed, republished, uploaded, posted, or transmitted in any way without our prior written consent. Your word cloud data visualizations are excluded from this limitation and may be shared without prior consent.

 

Additionally, you are You are prohibited from using the Service to:
 

  • Engage in any behavior that is unlawful, infringing, harmful, harassing, defamatory, threatening, hateful, or otherwise objectionable according to the discretion of Consequential Flowers.

  • Violate the privacy or infringe the rights of others, including intellectual property rights.

  • Transmit or facilitate the transmission of any content that is illegal, abusive, unwanted, or promotes or incites violence, bigotry, or discrimination.

  • Distribute viruses, corrupted data, or other harmful, disruptive, or destructive files.

  • Conduct or forward illegal contests, pyramid schemes, or chain letters.

  • Impersonate any person or entity, misrepresent your affiliation with a person or entity, or use the platform to mislead or deceive others.

  • Disrupt the normal flow of communication on the platform or otherwise act in a manner that negatively affects other users' ability to use the service.

  • Violate any applicable laws or regulations.
     

Consequential Flowers reserves the right, but not the obligation, to monitor the content submitted to the Service, to determine compliance with these Terms of Service and any operating rules established by Consequential Flowers and to satisfy any law, regulation, or authorized government request. Consequential Flowers has the right, in its sole discretion, to edit, refuse to post, or remove any material submitted to or posted on the Service
 

Intellectual Property Rights
The service and all products and services delivered to you through the service are provided 'as is' and 'as available' for your use, without any representation, warranties, or conditions of any kind, either express or implied.


Prohibition of Reverse Engineering
You agree not to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of any portions of the Service or any software, documentation, or data related to the Service (“Software”). You may not modify, translate, or create derivative works based on the Service or any Software, nor may you copy, distribute, pledge, assign, or otherwise transfer or encumber rights to the Service or any Software.
 

Disclaimer of Warranties
In no case shall Consequential Flowers, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages.
 

Limitation of Liability
You agree to indemnify, defend and hold harmless Consequential Flowers and our affiliates, partners, officers, directors, agents, and employees, from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.
 

Indemnification
These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.
 

Termination
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the jurisdiction in which Consequential Flowers operates, without regard to its conflict of law principles.
 

Modification of Terms
We reserve the right, at our sole discretion, to modify or replace these Terms of Service at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
 

General Terms
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles. You agree that any legal actions, suits, or proceedings arising out of these Terms of Service (including but not limited to the use of Consequential Flowers services) shall be brought exclusively in the courts located in the Commonwealth of Pennsylvania. If any provision of these Terms of Service is held to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. No waiver by us shall be construed as a waiver of any preceding or succeeding breach of any provision.
